These general conditions will be those that will regulate the relationship between the buyer and the Matrix unless both parties formalize a special agreement separately.
1.- Sales conditions
The payment of the purchase and its term will be those agreed individually between Matrix Electrónica, S.L. and the customer The purchase will be considered made from the moment of receipt of the merchandise order. The obligation to supply the purchased product will only arise from that moment. The seller reserves the right to modify the means and payment term at any time.
All shipments of the product are due due to what the buyer pays for transportation costs. The price of transport as well as its assurance have already been passed on within the purchase price of the product, and appear as a cost in the relation of invoice concepts. The product will be sent by the usual Matrix operator and system, unless otherwise agreed.
The buyer will be responsible for all expenses that occur as a result of the delay in receiving the merchandise or the rejection of the merchandise without just cause duly accredited. In any case, these costs will include, but are not limited to: storage costs, product assurance, return, transportation, and even where appropriate, lawyers and professionals costs.
2.- Payment Method
The payment method of the product will be the one agreed individually between Matrix Electrónica, S.L. and the customer The currency used is the euro.
3.- Applicable legislation
The sale made under the protection of these will be governed in all its aspects by the legislation of the Kingdom of Spain.
4.- Shipping costs. Taxes
The shipping costs of the product are borne by the buyer. These expenses are included in the purchase price and are reflected as such, and duly broken down, in the purchase invoice.
The sale and purchase operation will also be subject to the payment of taxes that may apply in accordance with the applicable regulations. If applicable, the concept of the tax and its amount will be reflected on the invoice.
The buyer will be responsible and obliged to pay the taxes that apply to the purchase and sale operation.
5.- Order cancellation policy
Orders placed for the purchase of standard products cannot be canceled once Matrix has confirmed such orders to the customer. The delivery of such products may be delayed up to 1 month before their delivery, provided that the maximum delay does not exceed 2 months.
Orders placed for the purchase of custom-designed products according to customer specifications are not subject to the cancellation policy of MATRIX ELECTRÓNICA S.L.U., so that its sale will be understood to have been made once the order has been made, the client having to bear the expenses and costs that, prior to the order itself, MATRIX ELECTRÓNICA S.L.U. has spent in their design.
6.- Risk of loss
The responsibility for the loss or damage of the product during transport corresponds to Matrix provided that the carrier was chosen by it. The ownership of the product corresponds to the buyer from the moment the product is delivered or made available.
7.- Claims for error or damage to the product
The buyer may claim Matrix for errors or defects in the merchandise supplied within a period of five days from the moment of delivery of the product, and always by means of a written claim in which the reason for the same is justified.
8.- Warranty Limits
Matrix guarantees that the products supplied comply with the technical characteristics of their specifications and are free from manufacturing defects for a period of one year from the date of delivery of the merchandise.
During the warranty period the buyer may send the products purchased for repair or replacement to Matrix. However, for this it will be necessary that previously the buyer has communicated in writing to Matrix the incident and that it has granted in writing the corresponding RMA (Return Material Authorization) of return of material.
Products returned under this warranty must be in the same condition in which they were received and without having been tampered with or modified, and must be returned in the same packaging in which they were sent.
However, Matrix reserves the right to refuse the repair or replacement of the products that are sent under this warranty if they have been manipulated or from which it is deduced that they are not in their original condition.
Products outside the warranty period may be repaired or replaced at the request of the buyer. In this case the current repair rates or the price of the product applicable at that time will apply.
9.- Exclusion of other Guarantees
Matrix does not offer any other express or implied warranty on the products sold, except those expressed in these conditions. In particular, it does not guarantee that the product purchased meets the buyer’s particular expectations. Matrix will not be liable under any circumstances for any damage or damage caused as a result of the use, use, or use of its products.
However, the maximum amount for which Matrix will respond in case of breach of the guarantees provided under these conditions will amount to the invoice amount of the product supplied.
Matrix is not responsible and will not assume any express or implied responsibility for the use of the products in medical devices or support for health services.
10.- Applicable legislation
The buyer and Matrix agree that this contract will be regulated in all its aspects under the protection of Spanish legislation.
11.- Software
All software supplied is subject to the license agreement attached to the product. The buyer and his customers are bound by the same license agreement.
12.- Jurisdiction and competition
The parties expressly waiving the jurisdiction that may correspond to them decide to submit expressly for the resolution of any dispute relating to these general conditions, to the commercial operations carried out under them, or any other controversy that may arise from them to the jurisdiction and jurisdiction of the Courts and Tribunals of Madrid capital, Spain.
